1 Introduction

1.1 Welcome to the TK-Store platform (hereinafter referred to as the “Platform”). Before using the TK-Store platform, opening a TK-Store account (hereinafter referred to as the “Account”), or opening a TK-Store store (hereinafter referred to as the “Store”), please carefully read these Terms of Service to understand your legal rights and obligations to TK-Store (hereinafter collectively referred to as “TK-Store”, “we”, or “our”). The services we provide (hereinafter referred to as the “Services”) include: (1) the Platform (including mobile applications); (2) the services provided by the Platform and the TK-Store client software; and (3) all information, linked web pages, functions, data, text, images, photos, graphics, music, sound, video, tags, content, programs, software, and application services (including but not limited to any mobile application services) provided through the Platform or its related services (hereinafter referred to as the “Content”). Any new or upgraded features of the Services shall also be subject to these Terms of Service. These Terms of Service govern your use of the services provided by TK-Store.

1.2 TK-Store Policy: These are the terms and conditions applicable to sellers, which will be published and updated from time to time on the TK-Store platform, including but not limited to the Cross-Border Seller Service Terms, Privacy Policy, Prohibited and Restricted Goods Policy, TK-Store Logistics Service Terms, policies and terms listed in the Seller Center, and any new policies and terms to be published in the future. Unless otherwise agreed in these Terms of Service, the definitions and interpretations of terms in the TK-Store Policy shall apply to these Terms of Service.

1.3 The TK-Store platform refers to the website and mobile shopping application provided and operated by TK-Store, including but not limited to the global TK-Store shopping website and mobile shopping client;

1.4 By using this service or opening an account and store on this platform, you irrevocably accept and agree to these Terms of Service, including any additional terms and policies mentioned in these Terms of Service or provided via links in these Terms of Service. However, you shall still comply with the Terms of Service of the website platform where you open your store in different countries/regions. Accepting and agreeing to these Terms of Service does not exempt you from the obligation to read and comply with the Terms of Service of the website platform where your store is located. If these Terms of Service conflict with the Terms of Service of the website platform where you open your store, the Terms of Service of the website platform where you open your store shall prevail.

If you have entered into other written agreements with us to provide specific services, the terms of those other written agreements shall prevail in the event of any conflict between them and these Terms of Service.

1.5 This service includes providing an online platform to offer sellers (hereinafter referred to as "you," "users," or "sellers") a place and opportunity to trade. The actual sales contract exists between the buyer (hereinafter referred to as "buyer") and the seller. TK-Store is not a party to the sales contract or other contracts between the buyer and seller, nor does it assume any obligations under such contracts. Both the buyer and seller shall bear all responsibilities regarding sales contracts, product listings, shopping guarantees, and similar matters during their use of TK-Store services. TK-Store does not participate in transactions between users. TK-Store has the right to pre-screen users or the content or information they provide. TK-Store reserves the right to delete any content or information you provide through this platform pursuant to Article 6.5. TK-Store cannot guarantee that users will complete transactions.

1.6 Before becoming a user of this service, you must read and accept all terms contained in and linked to these Terms of Service, and you must agree to the provisions of the privacy policy (if any) regarding the processing of seller and buyer personal information.

1.7 From the date you become a user of this service, if you violate these Terms of Service and any other rules and policies you are required to comply with (including but not limited to additional terms mentioned in these Terms of Service and/or additional terms provided through links in these Terms of Service and TK-Store policies), TK-Store has the right to take action against you and your account and store opened on this platform in accordance with these Terms of Service and related rules and policies (including but not limited to a series of disciplinary measures described in Section 7.1 of these Terms of Service), and you promise and agree to accept TK-Store's actions and bear the corresponding responsibilities.

2 Privacy

2.1 TK-Store attaches great importance to privacy protection. We have detailed our privacy protection measures in our privacy policy. Please read this privacy policy carefully to understand how TK-Store collects and uses personal information in your account and/or personal information you provide when using the service. By using this Service or providing information on the platform, you agree that TK-Store may collect, use, disclose, and/or process your content and personal information (if any) during your use of this Service in accordance with the manner described in the Privacy Policy.

2.2 Users who use this Service and hold third-party personal information (hereinafter referred to as "Recipients") agree to: (1) comply with all laws and regulations related to personal information protection; (2) allow users whose personal information was collected by the Recipients (hereinafter referred to as "Disclosing Parties") to delete their information from the Recipients' database; and (3) allow Disclosing Parties to view the information collected by the Recipients. In both (2) and (3) above, compliance with or due process of applicable laws and regulations shall apply.

3 Limited Authorization

3.1 TK-Store grants you a limited, revocable right to log in and use this Service in accordance with the terms and conditions of these Terms of Service. All proprietary content, trademarks, service marks, brand names, logos, and other intellectual property rights (hereinafter referred to as "Intellectual Property") displayed on the platform are the property of TK-Store and the third-party owners (if applicable) identified on the platform. We do not grant any party accessing the platform any right or authorization to use or reuse any property, directly or indirectly, and no party accessing the platform may claim any right, title, or interest in any property. By using this service, you agree to comply with the copyright, trademark, service mark, and all other applicable laws protecting this service, the platform, and its content. You agree not to copy, distribute, reprint, transmit, publicly display, publicly perform, modify, adapt, rent, or sell any part of this service, the platform, or its content, nor to create derivative works based thereon. Without our prior written consent, you may not mirror or embed any part or all of the content of this platform on any other server, or display it as part of any other website/platform. Furthermore, you agree not to use any robots, web crawlers, or other automated devices or manual processes to monitor or copy our content without our prior written approval (except in cases where standard search engine technologies are used to search websites and direct web users to this platform).

3.2 We welcome you to link to this platform from your website, provided that your website/platform does not imply any endorsement or affiliation with TK-Store. You understand that TK-Store may discontinue some or all of its services at any time, either as required by law or in good faith.

4. Software

Any software we provide to you shall comply with the provisions of these Terms of Service. TK-Store reserves all rights not expressly granted in these Terms of Service. Any third-party scripts or program code linked to or referenced in this service are used under license from their owners (not TK-Store).

5. Account and Security

5.1 Using certain features of this service requires registering an account and store. When registering an account and store, you will need to choose a unique user identifier (hereinafter referred to as "User ID") and a password, and provide some personal information. If TK-Store unilaterally determines that your chosen User ID is illegal, non-compliant, or inappropriate, TK-Store has the right to suspend or terminate your account, or freeze or close your store. You can use your User ID and password to log in to other products, websites, or services for which we have enabled access or with which we have an alliance or partnership. TK-Store does not review the content, functionality, security, services, privacy policies, or other specifications of any third-party products, websites, or services. If you use such products, websites, or services, the terms and conditions of those products, websites, or services (including their respective privacy policies, if different from our Terms of Service and/or Privacy Policy) will also apply to your use of those products, websites, or services.

5.2 You agree to: (1) keep your password confidential and use your user ID and password only when logging in; (2) ensure that you log out of your account after each use of the website; (3) immediately notify TK-Store of any unauthorized use of your account, user ID, and/or password; and (4) ensure that your account information is accurate and up-to-date. You are obligated to properly maintain your account access permissions, and all operations and business activities under your account (including but not limited to sub-accounts opened under your main account) shall be considered your actions. You must be fully responsible for all activities conducted using your user ID, store, and account, even if you are not the executor of such activities or use. TK-Store shall not be liable for any loss or damage caused by unauthorized use of your password or your failure to comply with the provisions of this section.

5.3 The email address, contact information, and other information you use during registration must belong to you and/or your authorized representative. TK-Store has the right to verify the information you submit. You agree that TK-Store may disclose, transmit, or grant access to third-party service providers and verify the aforementioned information; otherwise, TK-Store has the right to refuse to provide this service.

5.4 Your TK-Store account is owned by TK-Store, and TK-Store has the right to manage your account in accordance with legal requirements or principles of good faith. You agree that TK-Store may, in accordance with legal requirements or principles of good faith, separately notify you to immediately terminate your account and user ID, delete any content related to your account and user ID from this platform, revoke any subsidies already provided to you, and cancel any transactions related to your account and user ID. TK-Store will also explain the reasons for terminating your account, including but not limited to: (1) inactivity of your account or your store for an extended period (more than 30 days); and/or your cessation of operation on this platform for more than one year, including no orders placed for one year (regardless of whether the account is used); (2) violation of this agreement; (3) sufficient evidence to prove that the user has engaged in fraud, harassment, defamation, threats, insults, or other illegal activities or violates the rules of various websites; (4) possessing multiple user accounts and repeatedly opening stores for improper or illegal purposes; (5) funds being seized by judicial or administrative authorities; (6) the user submitting false or forged identity verification information, which has been verified; or (7) engaging in activities that harm the business interests of other users, third parties, or Meta Store (such as infringing on third-party intellectual property rights, fraudulent transactions, abuse of free shipping or discounts, etc.). If you use your account for fraud, harassment, defamation, threats, insults, or other illegal activities, we may report this to the competent law enforcement agency without notifying you. 5.5 If your TK-Store account is closed due to serious violations, you may not re-register an account; if it is discovered that you have re-registered an account, TK-Store has the right to immediately suspend services and close the seller account.

5.6 You have the right to terminate the Terms of Service between you and TK-Store at any time in a manner agreed upon by both parties. If a user wishes to terminate their account and store, they may notify TK-Store in writing (by emailing service@TK-Store.com or contacting your account manager). Even if the account and store have been terminated, you remain responsible for any outstanding transactions (whether initiated before or after termination), product delivery, product payment, and other transaction-related matters, and you must notify TK-Store after promptly and effectively completing all outstanding transactions in accordance with these Terms of Service. TK-Store shall not be liable for any loss arising from your actions under these Terms.

5.7 You may only use this service and/or open an account/or store in the countries/regions permitted, as updated by us from time to time.

6. Your Commitments and Warranties

6.1 You warrant that you have all rights and/or authorization to sell the listed products on the TK-Store platform, and that such products, whether manufactured, assembled, produced, or otherwise supplied by you, meet the following conditions:

(1) Legally sourced and brand new and authentic unless otherwise stated in the product details;

(2) Strictly comply with all product warranties, specifications, drawings, samples, performance standards, or other product descriptions you provide to the TK-Store platform;

(3) The products have the expected performance, and any defects in product performance have been explained;

(4) Comply with current laws and regulations, not violating current laws and regulations in China and the region where the store is located, meeting requirements for personal and property safety and environmental protection, meeting the quality standards stipulated by relevant departments, and not infringing on the rights (including intellectual property rights) of any third party;

(5) There are no product infringement claims from any third party, nor any claims, requests, or legal proceedings regarding the manufacture, sale, distribution, or use of the products. TK-Store will not receive any infringement allegations from any third party due to your sale of products on the TK-Store platform.

6.2 Commitments and Warranties:

(1) You agree and warrant that TK-Store will not advertise, market, or promote your products in any way (whether on the TK-Store platform or other media), nor will it use the information you provide to advertise, market, or promote your products, thereby directly or indirectly infringing on the rights (including intellectual property rights) of any third party;

(2) You commit and warrant that the information you provide is available for TK-Store to use for advertising, marketing, or promoting your products (whether on the TK-Store platform or other media), and does not contain any defamatory or other content that violates the applicable laws and regulations of the store's location, and is complete, accurate, and reliable. You commit that if there are any errors in the information you provide or if it needs to be updated, you will immediately notify TK-Store and make corrections.
